Terms of service

These terms govern your use of Shepherdly, operated by Shepherdly Pty Ltd from Australia (ABN forthcoming). By signing up for an account or using the service, you (the church or organisation, referred to as “you”) agree to these terms.
1. The service
Shepherdly is a software-as-a-service church management platform. We provide the tools listed on our website. We may add, remove, or change features over time, but we will not remove your access to your data without notice.
2. Your account
You are responsible for the activity that happens under your account, including all members of your team you grant access to. Keep your login credentials secure. If you suspect unauthorised access, contact us immediately at hello@shepherdly.com.au.
3. Acceptable use
You agree not to use Shepherdly to:
- Violate any law or regulation, including child-safety laws.
- Send spam, harass any individual, or transmit malicious code.
- Attempt to access another church’s data, probe our infrastructure for vulnerabilities (without our written permission), or interfere with the operation of the service.
- Resell, white-label, or operate the service on behalf of organisations that are not your own church without our written agreement.
4. Your data
You own the data you put into Shepherdly. We act as a processor on your behalf. See our Privacy Policy for full detail.
You can export your data as CSV at any time. If you cancel your account, we delete your data within 60 days of cancellation, except where we are required to retain records by law.
5. Payments and billing
Free plans are free. Paid plans are billed monthly in Australian dollars via Stripe. Trials run for 14 days. After the trial, your card is charged for the plan you selected. You can cancel any time from your billing settings; cancellation takes effect at the end of the current billing period.
We do not charge a platform fee on giving processed through Stripe Connect. Stripe’s own processing fees apply (approximately 1.75% + 30¢ per transaction in Australia at the time of writing).
6. Stripe Connect for online giving
If you choose to accept online giving through Shepherdly, you connect your own Stripe account. Funds settle directly to your church’s bank account. Shepherdly never holds your funds. Your relationship with Stripe is separately governed by Stripe’s Connected Account Agreement.
7. Communications you send
If you use Shepherdly to send email or SMS to your members, you are responsible for ensuring you have an appropriate basis to contact them (consent or another lawful basis under the Spam Act 2003 (Cth) for email/SMS to Australian recipients). Every email sent through Shepherdly includes an unsubscribe link and your church’s contact details.
8. Service availability
We aim to keep Shepherdly available 24/7, but we do not promise uninterrupted service. We may need to perform maintenance or respond to incidents. We will give reasonable notice of planned maintenance where we can.
9. Warranties and liability
Shepherdly is provided “as is”. To the maximum extent permitted by law, we exclude all implied warranties.
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot be lawfully excluded.
To the maximum extent permitted by law, our total liability arising out of or in connection with the service is limited, at our option, to either resupplying the service or refunding the fees you have paid us in the 12 months immediately preceding the event giving rise to the claim.
10. Suspension and termination
We may suspend or terminate your account if you breach these terms, fail to pay, or use the service in a way that puts other churches or our infrastructure at risk. We will give you reasonable notice and an opportunity to cure where possible, except for serious breaches.
You can terminate your account at any time from your billing settings.
11. Changes to these terms
We may update these terms. Material changes will be communicated via email to account holders at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
12. Governing law
These terms are governed by the laws of Victoria, Australia. The courts of Victoria have exclusive jurisdiction over any dispute, except either party may seek urgent injunctive relief in any court of competent jurisdiction.
